Payward Acquires Bitnomial to Lock In US Regulatory Infrastructure

Payward, the parent company of Kraken, has signed a definitive agreement to acquire Bitnomial, a CFTC-regulated cryptocurrency and derivatives exchange valued at $20 billion. Payward cited Bitnomial's regulatory licenses as the primary driver of the deal.

Why Bitnomial Matters: The CFTC Triple License

Bitnomial is the first crypto-native exchange in the US to hold all three CFTC licenses — exchange, clearinghouse, and brokerage permits. This trifecta enables direct settlement and clearing of crypto derivatives without relying on legacy financial infrastructure.

Co-CEO Arjun Sethi explained the rationale: "Settlement mechanics, margin models, and contract structures define what products can exist and who can access them. Bitnomial spent a decade building it: crypto settlement, crypto collateral, continuous 24/7 markets. These are capabilities that cannot be retrofitted onto legacy systems."

Payward plans to use Bitnomial's infrastructure to offer spot margin trading, perpetual futures, and options to US clients. Through its Payward Services API, business clients will also gain access to tokenized stocks, crypto derivatives, and fiat onramps.

This acquisition follows a string of regulatory milestones. In March 2026, Kraken became the first crypto company to receive a limited-purpose master account from the Federal Reserve Bank of Kansas City, granting access to the Fed's Fedwire payment system. The account, valid for one year and subject to restrictions, mirrors the 'skinny' master account structure championed by Fed Governor Christopher Waller and Wyoming Senator Cynthia Lummis.

Prior to this, Kraken expanded into tokenized stocks and perpetual futures, and secured a $200 million investment from Deutsche Börse. The pattern reveals a clear vertical integration strategy: own the infrastructure, not just the exchange.
